David R. Simon

Law Practice

David maintains a comprehensive business law practice assisting clients with regulatory, transactional, real estate and succession planning needs. He has 28 years of experience as a business advisor and succession planner, with extensive experience in consumer creditor finance. 

He represents a broad array of enterprises ranging from agribusinesses, software developers, and internet content providers to real estate investors, finance companies and credit unions to publicly owned, private and family owned businesses of all types. 

David is a Law Committee Member of the American Financial Services Association.  He is also a Law Committee Member of the Legal, Tax and Accounting Committee of the National Council of Farmer Cooperatives and since 2005, served as Chair of its AMT, State Income Tax and Accounting Subcommittee. From 2004 to 2007, David served as an observer on the Drafting Committee of the Uniform Limited Cooperative Corporation Act appointed by the National Conference of Commissioners on Uniform State Laws.

Prior to joining Farleigh Wada Witt, David was a partner with Black Helterline, LLP (2002-2007) and a partner with The Tooze Law Firm (1987-2002).

Representative Matters

Regulatory Consumer Finance –

Representation of privately owned consumer finance company in all phases of operations, including regulatory and employment issues, financing transactions, real estate acquisitions, loan documentation, and day-to-day operational matters.

General Business and Transactions –

Representation of public business entities, private and family owned businesses and individuals regarding entity formation and development, ongoing day-to-day operational matters, borrowing and lending and stock and asset transactions.

Cooperative Law –

Representation of agricultural and nonagricultural cooperatives and organizers in the formation of supply, marketing, federated and employee cooperatives and ongoing cooperative operations.  Featured speaker on cooperatives for several trade associations, including the National Council of Farmer Cooperatives. In 1993 and 1994, David chaired the Oregon State Bar Cooperative Corporation Law Task Force which drafted comprehensive updates to Oregon's Cooperative Corporation Act (Chapter 62), updates adopted by the Oregon state legislature.

Real Estate –

Representation of buyers and sellers in real estate sales, acquisitions and exchanges, including raw land, timber and improved property transactions, leasing and asset based financing.

Succession and Estate Planning –

Representation of individuals with respect to their estate planning and business succession needs, including both taxable and nontaxable estates, trusts, conservatorships and probate administration.

Community Involvement

David has been active in the Oregon State Bar, serving as a founding member and Chair (2006) of the Diversity Section. He was also a member of the Oregon State Bar Affirmative Action Committee from 2004 to 2006, and the Multnomah County Bar Association Equality Committee (1997 to 2000) and Professionalism Committee (2001 to 2003).

David has served on numerous neighborhood association and public school committees, including the site councils of his daughter's high school and his son's middle school. He has served as a Junior Achievement Classroom Business Consultant and member of the Board of Directors of the Mt. Hood YMCA. David is a member of Portland Downtown Rotary and Multnomah Athletic Club, and a former member of Portland City Club and while active chaired a study group on educator compensation.

Personal

Married since 1980, David and his wife Cindy have two adult children, Audrey and Joel. David enjoys golfing, traveling and reading history.
